Section 01

Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Meridian Cards platform, including our website at themeridian.cards, our API, and our Model Context Protocol (MCP) server (collectively, the "Service"). The Service is operated by Meridian Finance Ltd, a company incorporated in England and Wales (registration pending), whose registered address will be notified to users upon incorporation.

By creating an account, accessing the Service, or clicking any "I agree" or "Accept" button, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not use the Service.

Section 02

Description of Service

Meridian Cards is a virtual card issuing platform that allows users and AI agents acting on their behalf to create, manage, and close Visa virtual payment cards programmatically. The Service operates through:

  • Stripe Issuing: Virtual Visa cards are created and managed through Stripe's card issuing infrastructure. Meridian Finance Ltd acts as the programme manager. All card issuance is subject to Stripe's terms and applicable card scheme rules.
  • MCP Server: A Model Context Protocol endpoint that allows AI agents (such as Claude, Cursor, or ChatGPT with tool use) to interact with the Service on your behalf — creating cards, checking balances, listing transactions, and closing cards.
  • REST API: A programmatic interface for developers who wish to integrate Meridian Cards functionality directly into their applications.
  • Web Dashboard: A browser-based interface for account management, funding, and card oversight.

The Service facilitates conversion of USDC stablecoin into fiat currency (GBP or EUR) for use as card spending funds. Conversion and settlement services are provided via Circle (for USDC) and Stripe (for fiat card issuance).

Section 03

Eligibility

To use Meridian Cards, you must meet all of the following requirements:

  • You are at least 18 years of age.
  • You have a valid email address that you own and control.
  • You are a resident of the United Kingdom or the European Economic Area (EEA). The Service is not currently available to residents of other jurisdictions, including the United States.
  • You are not subject to any sanctions administered by the UK Office of Financial Sanctions Implementation (OFSI), the EU, the US OFAC, or any other relevant authority.
  • You are not using the Service on behalf of any sanctioned person or entity.
  • You are using the Service for lawful purposes only.

By registering, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify eligibility at any time and to suspend or close accounts that do not meet these requirements.

Section 04

Account Registration

To access the Service, you must register for an account. Registration is done via a magic link — we send a secure, time-limited sign-in link to your email address. There is no password to create or manage.

Magic links are single-use and expire after 15 minutes. Each link is cryptographically bound to your email address and device session. We hash sign-in tokens using SHA-256 and do not store plaintext credentials.

You agree to:

  • Provide a valid, accurate email address and keep it current.
  • Maintain one account per person. Creating multiple accounts is not permitted.
  • Keep your account secure. Do not share magic links with others.
  • Notify us immediately at support@themeridian.cards if you believe your account has been compromised.

We are not responsible for losses resulting from unauthorised access to your account if you have shared your magic link or failed to maintain reasonable security precautions.

Section 05

Virtual Cards

Virtual cards issued through Meridian Cards are Visa-branded prepaid cards issued under Stripe Issuing's programme. Cards are funded from your Meridian wallet balance.

Card Lifecycle

  • Creation: Cards are created instantly upon request, subject to available wallet balance and any applicable spending limits. A card creation fee applies (see Section 6).
  • Spending limit: Each card is created with a specific spending limit that you set. The card cannot be charged beyond that limit.
  • Active: Cards can be used for online purchases anywhere Visa is accepted. Physical terminals may not accept virtual cards.
  • Cancellation: You may close a card at any time. Unused funds are returned to your wallet balance. Cards closed by you or by us for policy reasons cannot be reopened.

Prohibited Uses of Cards

Cards must not be used for:

  • Gambling, gaming, or lottery services (unless explicitly permitted in writing).
  • Adult content or services.
  • Cryptocurrency exchanges or services (other than those explicitly integrated into the Meridian platform).
  • Cash advances or money transfers to yourself or others.
  • Any transaction that violates applicable law.
  • Any activity listed in Section 8 (Prohibited Activities).

We reserve the right to decline or reverse transactions that violate these restrictions. Repeated violations may result in account termination.

Note: Virtual cards are issued subject to Stripe Issuing programme terms and Visa card scheme rules. In the event of a conflict, those rules prevail over these Terms with respect to card operation.

Section 06

Fees and Pricing

Current pricing is published on our pricing page. By using the Service, you agree to pay the applicable fees. Fees may change; we will provide reasonable notice of material fee changes.

Key fees include:

  • Card creation fee: £0.10 / €0.12 per card created.
  • Domestic transactions: Free (transactions in the currency of your account currency).
  • International transactions: 1% of the transaction amount + £0.30 / €0.35 per transaction.
  • USDC conversion: 1% of the amount converted from USDC to GBP or EUR.
  • Subscription fees: Certain plan tiers include monthly subscription fees. Details are on the pricing page.

All fees are deducted from your wallet balance or charged to a connected payment method. Fees are non-refundable unless we have made an error or as required by law.

We do not charge for:

  • Account creation or sign-in.
  • Viewing cards, balances, or transaction history.
  • Closing a card (unused balance is returned in full).
Section 07

USDC Funding

Your Meridian wallet can be funded by depositing USDC (USD Coin), a regulated stablecoin pegged to the US dollar. Upon deposit, USDC is converted to GBP or EUR at the prevailing mid-market rate, less a 1% conversion fee.

Important terms regarding USDC funding:

  • Irreversibility: USDC deposits and conversions are irreversible once processed. We cannot reverse a conversion or return USDC after fiat conversion has been initiated.
  • Conversion timing: Conversion rates are locked at the time your USDC deposit is confirmed on-chain. Conversion typically completes within minutes but may take longer in periods of network congestion.
  • Minimum deposit: The minimum USDC deposit is $10 (or equivalent).
  • USDC source: You must only deposit USDC from wallets you own and control. Depositing USDC obtained through unlawful means is a serious violation of these Terms.
  • No USDC custody: We do not hold USDC on your behalf. USDC is converted to fiat upon receipt. We do not operate as a crypto asset custodian.

USDC conversion services are facilitated via Circle Internet Financial. By using USDC funding, you also accept Circle's applicable terms of service.

Cryptocurrency risk: Although USDC is a stablecoin, stablecoins carry risks including de-pegging. Meridian Finance Ltd is not responsible for losses arising from stablecoin volatility between the time of your on-chain transaction and the time of conversion.

Section 08

Prohibited Activities

You must not use the Service for any of the following:

  • Fraud or financial crime: Any fraudulent, deceptive, or misleading conduct, including creating cards to dispute legitimate transactions.
  • Money laundering: Any activity designed to conceal the origins of illegally obtained funds.
  • Sanctions evasion: Transacting with any individual or entity subject to financial sanctions under UK, EU, or US law.
  • Unauthorised access: Attempting to circumvent, hack, or reverse-engineer any part of the Service or its infrastructure.
  • Abuse of the MCP interface: Scripting or automating transactions in a manner that constitutes market abuse, fraud, or circumvention of spending controls.
  • Resale: Reselling or sub-licensing access to the Service, or using the Service to provide a competing card-issuing service, without our written consent.
  • Impersonation: Creating accounts in the name of others or misrepresenting your identity.
  • Interference: Introducing malware, performing denial-of-service attacks, or otherwise interfering with the Service's operation.
  • Illegal activity: Any use of the Service that violates applicable law in your jurisdiction.

Violation of this section may result in immediate account suspension, reporting to relevant authorities, and civil or criminal liability.

Section 09

Intellectual Property

The Service, including its website, API, MCP server, documentation, software, brand, and design, is owned by Meridian Finance Ltd and protected by UK and international intellectual property law.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose, subject to these Terms. This licence does not include the right to:

  • Copy, modify, or create derivative works of any part of the Service.
  • Reverse-engineer or decompile any software underlying the Service.
  • Use our trademarks, logos, or brand assets without prior written permission.

You retain ownership of any content you provide to the Service (such as card labels or notes). You grant us a licence to use that content solely to operate the Service for you.

Section 10

Privacy

Your use of the Service is subject to our Privacy Policy, which explains what data we collect, how we use it, and your rights under the UK GDPR and EU GDPR.

By using the Service, you consent to the data practices described in our Privacy Policy. We are the data controller for personal data processed in connection with the Service.

We do not sell your personal data. We share data only with trusted service providers who need it to operate the Service (Stripe, Circle, Vercel), and as required by law.

Section 11

Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.
  • We are not liable for any indirect, incidental, consequential, special, or exemplary damages arising from your use of the Service, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability to you in connection with the Service is limited to the fees you paid us in the 90 days preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation by us.
  • Any statutory rights that cannot be excluded under applicable law (including consumer protection rights under the Consumer Rights Act 2015).

If you are a consumer, you may have statutory rights that these Terms do not affect.

Section 12

Termination

By you: You may close your account at any time by contacting us at support@themeridian.cards. Upon closing your account, any remaining wallet balance will be returned to you (less applicable fees) within 10 business days, subject to completion of any outstanding transactions.

By us: We may suspend or terminate your account at any time if:

  • You violate these Terms (particularly Sections 5, 7, or 8).
  • We are required to do so by law or a regulatory authority.
  • We reasonably suspect fraudulent or unlawful activity on your account.
  • We discontinue the Service (with reasonable notice).

On termination for cause, we may withhold remaining wallet balances pending investigation. Terminations due to fraud or legal requirements may result in funds being frozen in accordance with applicable law.

Sections 8, 9, 11, 13, and this section survive termination of your account.

Section 13

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that:

  • If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
  • If you are a consumer resident in an EU member state, you may also bring proceedings in the courts of your country of residence, and may be entitled to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Section 14

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email to the address on your account and update the "Last updated" date at the top of this page. We will give at least 30 days' notice before material changes take effect.

If you continue to use the Service after the effective date of the revised Terms, you accept the updated Terms. If you do not agree to the changes, you should close your account before the effective date.

For minor changes (such as clarifications that do not affect your rights), we may update the Terms without specific notice.
